PART 1 – GENERAL PROVISIONS

1. Purpose
These Extranet Terms of Use (“Terms”) govern access to and use of the GlobeOTA Partner Portal (“Partner Portal” or “Extranet”).
The Partner Portal is a secure online platform that enables Partners to manage their listings, reservations, pricing, inventory, settlements, and other operational activities.
These Terms should be read together with:
* Accommodation Partner Agreement (or other applicable Partner Agreement)
* Commercial Schedule
* Service Level Agreement (SLA)
* Privacy Policy
* Information Security Policy
* Other applicable GlobeOTA policies

2. Scope
These Terms apply to all authorized users accessing the Partner Portal, including:
* Hotels
* Resorts
* Desert Camps
* Homestays
* Villas
* Hostels
* Activity Providers
* Taxi Operators
* Tour Operators
* Destination Management Companies
* Corporate Partners

3. Acceptance
By accessing or using the Partner Portal, the Partner confirms that:
* it has authority to bind the business it represents;
* it agrees to these Terms;
* it will comply with applicable laws and GlobeOTA policies.
Electronic acceptance through the Partner Portal constitutes acceptance of these Terms.

4. Definitions
For the purposes of these Terms:
Account means the Partner Portal account issued by GlobeOTA.
Authorized User means an individual permitted by the Partner to access the Account.
Partner Data means information uploaded by the Partner.
System Data means operational information generated by GlobeOTA.
API means an approved application programming interface provided by GlobeOTA.

PART 2 – ACCOUNT MANAGEMENT

5. Account Registration
Partners must provide accurate and complete information during registration.
GlobeOTA may require verification before activating an account.
The Partner is responsible for keeping registration details current.

6. Authorized Users
The Partner may create accounts for employees or representatives who require access.
Each Authorized User should have an individual login.
Sharing credentials between multiple users is discouraged, as it reduces accountability and auditability.

7. User Roles
The Partner Portal may support role-based permissions, including:

The Partner is responsible for assigning appropriate permissions.

8. Password Security
Partners should:
* Use strong passwords.
* Protect login credentials.
* Avoid sharing passwords.
* Change passwords when compromise is suspected.
* Remove access for former employees promptly.
GlobeOTA may require password resets or introduce multi-factor authentication to improve security.

9. Account Responsibility
The Partner is responsible for activities performed using its account unless it promptly reports unauthorized access.
If unauthorized use is suspected, the Partner should notify GlobeOTA without undue delay.

PART 3 – USING THE PARTNER PORTAL

10. Permitted Use
The Partner Portal may be used only for legitimate business activities relating to GlobeOTA bookings and services.
Examples include:
* Managing listings.
* Updating inventory.
* Configuring rate plans.
* Processing reservations.
* Viewing reports.
* Managing settlements.
* Responding to reviews.
* Communicating with GlobeOTA.

11. Prohibited Activities
Partners must not:
* Attempt unauthorized access to GlobeOTA systems.
* Interfere with the operation of the Platform.
* Upload malicious software.
* Circumvent security controls.
* Misrepresent property information.
* Manipulate booking data.
* Submit fraudulent transactions.
* Use automated tools without GlobeOTA’s authorization.
* Access another Partner’s information.
Such activities may result in suspension or termination of access and, where appropriate, legal action.

12. Listing Management
Partners are responsible for ensuring that information published through the Partner Portal is accurate and current.
Updates should be made promptly when there are changes to:
* Availability.
* Pricing.
* Room categories.
* Amenities.
* Policies.
* Images.
* Contact details.

13. Reservation Management
Partners should use the Partner Portal to:
* Review new bookings.
* Monitor arrivals.
* Track departures.
* Manage cancellations.
* Record no-shows.
* Process modifications where permitted.
Reservation data should be handled securely and only for legitimate operational purposes.

14. Inventory Management
Partners are responsible for maintaining accurate inventory.
Inventory updates should reflect:
* Available rooms.
* Temporary closures.
* Maintenance blocks.
* Seasonal closures.
* Out-of-service inventory.
Timely updates help reduce overbooking and improve customer experience.

15. Pricing Management
Partners may configure:
* Room rates.
* Rate plans.
* Promotions.
* Package pricing.
* Seasonal pricing.
* Occupancy-based pricing.
The Partner remains responsible for ensuring that prices entered into the system are accurate and intended.

PART 4 – CONTENT MANAGEMENT

16. Content Uploads
Partners may upload:
* Property descriptions.
* Room descriptions.
* Images.
* Videos.
* Amenity information.
* Policies.
* Package details.
The Partner represents that it has the necessary rights to upload such content.

17. Content Standards
Content uploaded to the Partner Portal should:
* Be accurate.
* Be current.
* Not infringe intellectual property rights.
* Not contain unlawful or offensive material.
* Not include misleading information.
* Not contain malware or harmful code.
GlobeOTA may request corrections or remove content that does not comply with these standards.

18. Image Standards
Images should:
* Represent the actual property.
* Be recent.
* Have adequate resolution.
* Not contain misleading edits.
* Respect privacy rights.
* Avoid unauthorized watermarks.
GlobeOTA may optimize images for display without materially altering their content.

19. Intellectual Property
The Partner retains ownership of the content it uploads.
The Partner grants GlobeOTA a licence to use such content in accordance with the applicable Partner Agreement for operating, promoting, and marketing the Partner’s listing.

PART 5 – INTEGRATIONS & APIS

20. Approved Integrations
Where supported, Partners may integrate the Partner Portal with approved third-party systems such as:
* Property Management Systems (PMS)
* Channel Managers
* Revenue Management Systems
* Accounting Software
* Customer Relationship Management (CRM) tools
Integrations must comply with GlobeOTA’s technical and security requirements.

21. API Access
GlobeOTA may provide APIs to eligible Partners.
API credentials are confidential and should be protected.
Partners must not:
* Share API credentials with unauthorized parties.
* Exceed documented usage limits.
* Use APIs for unauthorized purposes.
* Attempt to reverse engineer GlobeOTA systems.
GlobeOTA may modify or discontinue APIs with reasonable notice where practicable.

The Partner Portal may maintain logs of significant account activities, including:
* Logins.
* Password changes.
* Inventory updates.
* Pricing changes.
* Booking actions.
* User management.
* Document uploads.
These logs support security, troubleshooting, and compliance.

PART 6 – SECURITY & COMPLIANCE

23. Security
Partners should implement reasonable security measures for devices used to access the Partner Portal, including:
* Updated operating systems.
* Antivirus software where appropriate.
* Secure networks.
* Access controls.
* Device protection.

24. Data Protection
Partners must handle personal information accessed through the Partner Portal in accordance with applicable privacy laws and the Accommodation Partner Agreement.
Customer information should only be used for fulfilling bookings and related operational purposes unless additional lawful consent has been obtained.

25. Suspension of Access
GlobeOTA may temporarily suspend access where reasonably necessary, including for:
* Security incidents.
* Fraud investigations.
* System maintenance.
* Material breach of these Terms.
* Legal or regulatory requirements.
Except where immediate action is required, GlobeOTA will generally notify the Partner and provide an opportunity to address the issue.

26. System Availability
GlobeOTA aims to provide reliable access to the Partner Portal but cannot guarantee uninterrupted availability.
Temporary interruptions may occur due to:
* Scheduled maintenance.
* Emergency maintenance.
* Technical failures.
* Internet disruptions.
* Third-party service outages.
Where practicable, planned maintenance will be communicated in advance.

27. Updates
GlobeOTA may update the Partner Portal, introduce new features, or retire existing functionality.
Where changes materially affect Partner workflows, GlobeOTA will provide reasonable notice and, where appropriate, supporting documentation or training materials.

PART 7 – GENERAL TERMS

28. Termination of Access
Access to the Partner Portal may end upon:
* Termination of the applicable Partner Agreement.
* Closure of the Partner’s account.
* Material breach of these Terms.
* Fraud or unlawful activity.
* Other circumstances permitted by the applicable agreements or law.
Termination of access does not automatically affect obligations relating to existing bookings unless otherwise agreed.

29. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
Any disputes shall be handled in accordance with the dispute resolution provisions contained in the applicable Partner Agreement.
